1. These Terms apply to users (each, a "User") of "GALAXIA" (the "App"), operated by neew, Inc. (the "Company"). Users shall use the App upon agreeing to these Terms.

1. These Terms set forth the conditions for use of the App. Users shall comply with all provisions of these Terms and use the App in accordance with the conditions set forth herein, depending on their age, usage environment, and other circumstances.

1. By agreeing to these Terms, the User enters into this Agreement (as defined in Article 2) with the Company.

The following terms used in these Terms shall have the meanings set forth in each item below.

1. "Agreement": The agreement for use of the App entered into between the Company and a User with these Terms as the contractual terms.

1. "User": Any person who has completed user registration for the App.

1. "User Credentials": The User's ID and password registered with the App.

1. "Communication Device": Smartphones, tablet devices, and computer equipment.

1. Any person who wishes to become a User of the App shall register as a User in accordance with procedures prescribed by the Company after agreeing to the contents of these Terms. To register an account, the applicant must satisfy all of the following conditions:

1. Be at least 18 years of age and of legal age to enter into a contract independently in the country of residence

1. Be single

1. Be legally permitted to use the App in the User's country of residence

1. Register at least one facial photograph, register location information, and agree to identity verification

1. If any change occurs to information registered pursuant to the preceding paragraph, the User shall promptly complete procedures to update the registered information. Please note that date of birth and registered nickname cannot be changed.

1. The Company may refuse user registration or suspend an account at its discretion when it reasonably believes that the User has violated paragraph 1 of this Article, when a criminal record is discovered through the investigation described in the next paragraph, or when the Company otherwise deems it appropriate.

1. The Company may investigate whether a User has a history of sex offenses or similar matters. The Company does not conduct such investigations for most Users. Even when such an investigation is conducted, please note that it is not a complete safety measure.

1. Users may not allow, lend, transfer, sell, pledge, or otherwise dispose of their App account to any third party.

The App is a service that matches Users based on their preference information. When a match is established, Users may exchange messages, voice calls, and video calls with each other.

1. Usage fees for the App shall be in accordance with the fee schedule prescribed by the Company.

1. Users may pay usage fees relating to the App only by methods prescribed by the Company.

1. Users shall prepare, at their own expense and responsibility, all equipment, communication means, transportation, and other environments necessary to receive provision of the App. All communication costs arising from use of the App shall be borne by the User.

1. Users are responsible for managing their User Credentials and Communication Devices. Users shall bear responsibility for damage caused by inadequate management of User Credentials or Communication Devices, errors in use, use by third parties, or similar matters, and the Company shall not be liable in any respect unless the Company acted intentionally or negligently.

1. If there is a risk that User Credentials or a Communication Device may be used by a third party, the User shall promptly notify the Company and follow the Company's instructions if any are given.

The Company may suspend or modify the App without notice to Users for maintenance or other reasons.

1. If a User posts or otherwise submits content on the App, the User agrees to grant the Company a royalty-free, unrestricted license to use, for any purpose, all copyrights that may arise in whole or in part with respect to such content, whether or not it constitutes a work of authorship (including the rights set forth in Articles 27 and 28 of the Copyright Act of Japan).

1. Users may not reproduce, reprint, publicly transmit, modify, or otherwise use, beyond the scope of private use under the Copyright Act of Japan, any information or content provided through the App (collectively, "Company Content"), regardless of method or form.

1. Copyrights, patent rights, utility model rights, trademark rights, design rights, and all other intellectual property rights, and rights to register such rights (collectively, "Intellectual Property Rights"), in Company Content belong to the Company or licensors from whom the Company has obtained licenses, and do not belong to Users. Regardless of whether Intellectual Property Rights exist, Users may not reproduce, distribute, reprint, transfer, publicly transmit, modify, adapt, or otherwise make secondary use of Company Content.

1. If any problem arises due to a User's violation of this Article, the User shall resolve such problem at the User's own expense and responsibility and take appropriate measures so as not to cause any disadvantage, burden, or damage to the Company.

1. With respect to any portion of posted content that may constitute a work of authorship, the User shall not exercise moral rights of authorship (including the rights of disclosure, attribution, and integrity) against the Company, any third party that has lawfully acquired rights from the Company, or any person who succeeds to rights from such third party.

1. In connection with Users' use of the App, the Company prohibits the conduct set forth in each item below.

1. Conduct that violates these Terms

1. Making false statements regarding identity, age, or other information registered by the User when using the App

1. Conduct that infringes, or is likely to infringe, the Intellectual Property Rights, patent rights, utility model rights, design rights, trademark rights, copyrights, publicity rights, or other proprietary or personal rights of the Company, licensors from whom the Company has obtained licenses, or other third parties

1. Conduct that causes, or is likely to cause, disadvantage or damage to the Company or any third party

1. Conduct that unjustly harms, or is likely to harm, the honor, rights, or reputation of others

1. Conduct that violates laws, regulations, or ordinances

1. Conduct that is contrary to public order and morals, conduct likely to be contrary to public order and morals, or providing information likely to be contrary to public order and morals to other Users or third parties

1. Criminal conduct, conduct connected with criminal conduct, conduct that promotes criminal conduct, or conduct likely to do any of the foregoing

1. Providing information that is false or likely to be false

1. Unauthorized access to the Company's systems, tampering with program code in connection therewith, tampering with location information, intentionally providing false information, cheating through use of Communication Device specifications or other application features, distribution of computer viruses, or other conduct that interferes, or is likely to interfere, with the normal operation of the App

1. Use of macros, tools, or other functions that automate operations

1. Conduct that damages, or is likely to damage, the credibility of the App

1. Conduct likely to adversely affect the mind and body of minors or their sound development

1. Using the App by impersonating a third party, including by using another User's account

1. Creating a new account without the Company's permission after the Company has suspended or deleted the User's account

1. Conduct connected with, or likely to be connected with, crimes such as fraud, illegal sale of bank or savings accounts, or illegal sale of mobile phones

1. Posting or sharing Prohibited Content as defined in Article 10

1. Conduct relating to criminal proceeds, terrorist financing, or conduct suspected of the same

1. Any other conduct that the Company deems inappropriate

1. If the Company determines that a User's conduct falls under any item of paragraph 1, the Company may, without prior notice, take any one or all of the measures set forth below.

1. Restriction of use of the App

1. Termination of membership by termination of this Agreement

1. Any other action that the Company reasonably deems necessary

In connection with Users' use of the App, the Company prohibits uploading or sharing content that falls under any of the following items.

1. Content that is illegal or promotes illegal activity

1. Content harmful to minors

1. Content that includes the likeness of a minor without the accompaniment of the minor's parent or guardian

1. Content that includes images or likenesses of partially clothed minors, or that depicts or implies minors engaged in sexual activity by any other means

1. Content that improperly solicits minors or facilitates improper relationships between Users and minors

1. Defamatory or libelous content

1. Obscene, pornographic, or violent content, or content that may harm human dignity

1. Content that is abusive, threatening, discriminatory, or promotes racism, sexism, hatred, or prejudice

1. Content that makes others uncomfortable or causes mental distress

1. Content related to commercial activity (including, without limitation, sales, auctions, promotions, advertising, and links to other websites or premium-rate telephone numbers)

1. Content related to sending spam or unsolicited messages

1. Content that includes another person's image or likeness without that person's consent

1. Content that infringes, or is likely to infringe, third-party Intellectual Property Rights, patent rights, utility model rights, design rights, trademark rights, copyrights, publicity rights, or other proprietary or personal rights

1. Content that includes spyware, adware, viruses, corrupted files, worm programs, or other malicious code, Trojan horses, or other materials designed to interfere with, damage, or limit the functions of software, hardware, communications, networks, servers, or other equipment, or designed to damage, interfere with, unlawfully intercept, or misappropriate data or personal information, whether or not originating from the App

1. Any other content that violates the intended manner of use of the App

1. If a User falls under any of the following items, the Company may terminate this Agreement and terminate the User's membership without any notice.

1. Registered information contains false information

1. The User has previously been subject to termination of membership by the Company

1. The Company receives notice from the User's heirs or others that the User has died, or the Company confirms the fact of the User's death

1. A minor uses the App without the consent of a legal representative

1. An adult ward, person under curatorship, or person under assistance uses the App without the consent of a guardian, curator, or assistant, as applicable

1. The User does not respond in good faith to requests from the Company

1. Any other case that the Company deems inappropriate

1. In addition to the cases listed in the preceding paragraph, the Company may terminate this Agreement and terminate the User's membership by giving the User at least 30 days' prior notice. If a User wishes to withdraw, the User may terminate this Agreement and withdraw by completing withdrawal procedures prescribed by the Company, effective as of the last day of the month in which such procedures are completed.

1. A User who withdraws pursuant to the measures in paragraphs 1 and 2 shall lose the benefit of any time limit upon withdrawal and shall immediately perform all obligations owed to the Company.

1. The Company makes no warranty whatsoever regarding the completeness, accuracy, validity, or similar characteristics of the content of the App. The Company also does not guarantee that the App will be free from interruption, suspension, or other failures.

1. When using the App, a User may be redirected from the App to other services operated by third parties related to the App (each, an "External Service"). In such cases, the User shall use the App and External Services at the User's own responsibility and expense after agreeing to the terms of use and other conditions of the External Services. The Company makes no warranty whatsoever regarding the completeness, accuracy, validity, or similar characteristics of External Services.

1. The Company shall not be liable in any respect even if the User suffers damage because the User failed to update registered information.

1. Users shall use the App only to the extent permitted by applicable laws. The Company shall not be liable in any respect even if a User violates laws of Japan or any foreign country in connection with use of the App.

1. The Company shall not be liable in any respect for damage suffered by a User even if User Credentials are stolen through unexpected unauthorized access or similar conduct.

1. The Company shall not be liable in any respect if it fails to perform all or part of this Agreement due to force majeure, including natural disasters, earthquakes, fires, strikes, suspension of trade, war, civil unrest, epidemics, or other events beyond the Company's control.

1. The Company shall not be liable in any respect even if a dispute arises between Users in connection with use of the App (whether inside or outside the App), and such disputes shall be resolved by the Users concerned at their own expense and burden.

1. If a User causes damage to the Company by violating these Terms or in connection with use of the App, the User shall compensate the Company for all damage incurred by the Company (including lost profits and attorneys' fees).

1. Notwithstanding any other provision of these Terms except paragraph 3 of this Article, if the Company causes damage to a User due to grounds attributable to the Company, the Company shall be liable to compensate for such damage only within the scope set forth below.

1. In cases of intentional misconduct or gross negligence by the Company: the full amount of such damage

1. In cases of ordinary negligence by the Company: only ordinary damage that actually and directly arises (excluding special damage, lost profits, indirect damage, and attorneys' fees), and in an amount not exceeding 10,000 yen

1. Notwithstanding the preceding paragraph, if a User is a corporation, or if an individual uses the App for business purposes or in connection with business, the Company shall not be liable in any respect for damage suffered by such User in connection with the App unless the Company acted intentionally or with gross negligence. If the Company compensates for damage, the maximum amount shall be the total cumulative usage fees paid by the User during the one-year period immediately preceding the date on which the damage arose.

1. The Company may discontinue provision of the App when it reasonably determines that provision of the App should be discontinued.

1. In the case of the preceding paragraph, the Company shall not be liable in any respect except where the Company acted intentionally or with gross negligence.

1. Users and the Company shall strictly and properly manage the other party's confidential information obtained in connection with provision of the App (including know-how relating to the App, information relating to the Company's systems, and all technical and business confidential information) and shall not disclose, provide, or leak such information to any third party (including the Company's affiliates and contractors) without the other party's prior written consent.

1. The following information shall not constitute confidential information.

1. Information already possessed at the time of disclosure

1. Information already publicly known at the time of disclosure, or information that subsequently becomes publicly known through no fault of the receiving party

1. Information lawfully obtained from a third party after disclosure

1. Information independently developed or created without reliance on disclosed confidential information

1. Information required to be disclosed under laws or by order of a court

1. If the other party gives instructions, or upon termination of this Agreement, Users and the Company shall promptly return or destroy confidential information in accordance with the other party's instructions, restore it to its original condition, and thereafter refrain from using it.

1. If the Company discloses a User's confidential information to the Company's affiliates or contractors with the User's consent, the Company shall not be liable in any respect for the handling of such confidential information by such affiliates or contractors.

1. The Company may use a User's confidential information for the purpose of providing the App.

1. Users and the Company represent and warrant that they currently do not, and will not in the future, fall under organized crime groups, organized crime group members, persons who have not passed five years since ceasing to be organized crime group members, quasi-members of organized crime groups, companies related to organized crime groups, corporate racketeers, groups claiming to engage in social movements or special intelligence violent groups, or other persons equivalent thereto (collectively, "Antisocial Forces"), or fall under any of the following items.

1. Having a relationship recognized as one in which Antisocial Forces control management

1. Having a relationship recognized as one in which Antisocial Forces are substantially involved in management

1. Having a relationship recognized as one in which Antisocial Forces are improperly used for the purpose of seeking wrongful benefit for oneself, one's company, or a third party, or for the purpose of causing damage to a third party

1. Having a relationship recognized as one involving provision of funds or other benefits, or other involvement, with Antisocial Forces

1. Having a relationship socially condemned to exist between an officer or person substantially involved in management and Antisocial Forces

1. Users and the Company pledge that they will not, either by themselves or through third parties, engage in any conduct falling under any of the following items.

1. Violent demands

1. Unreasonable demands beyond legal responsibility

1. Using threatening language or violence in connection with transactions

1. Spreading rumors, using fraud or force to damage the other party's credit, or interfering with the other party's business

1. Any other conduct equivalent to the preceding items

1. If it becomes known that the other party falls under Antisocial Forces or any item of paragraph 1, engages in any conduct falling under any item of the preceding paragraph, or made a false statement regarding the representations and warranties under paragraph 1, Users and the Company may terminate this Agreement against the other party without any notice, regardless of whether grounds attributable to themselves exist.

1. Users and the Company confirm and agree that if this Agreement is terminated pursuant to the preceding paragraph, they shall not be liable to compensate the other party for any damage arising therefrom.

1. The Company will endeavor to respond to inquiries from Users regarding the App, but shall not be obligated to respond except where an obligation or liability arises for the Company under laws or these Terms.

1. The Company shall not be obligated to disclose the criteria for whether it responds to inquiries from Users.

Neither Users nor the Company may assign, transfer, pledge, or otherwise dispose of all or part of their status under this Agreement or any rights or obligations under these Terms to any third party without the other party's prior written consent. This shall not apply, however, to transfer of shares, transfer of business, merger, company split, or other corporate reorganization.

Personal information in the App shall be handled in accordance with the Privacy Policy prescribed by the Company.

1. Even if any provision of these Terms is held invalid under applicable laws, the remaining provisions of these Terms shall remain valid.

1. Even if any provision of these Terms becomes invalid or is canceled in relation to a particular User, these Terms shall remain valid in relation to other Users.

1. If a User discovers conduct that violates these Terms, the User shall contact the Company.

1. Users may not object to the Company's handling of conduct that violates these Terms.

The term of this Agreement shall run from the time this Agreement is formed until the User withdraws. The provisions of Article 8, Article 11 paragraph 3, Articles 12 through 14, Article 16 paragraphs 3 and 4, Article 18, Article 20, this Article, and Articles 24 and 25 shall survive termination of this Agreement.

1. The Company may amend these Terms from time to time pursuant to Article 548-4 of the Civil Code of Japan when any of the following items applies. After amendment of these Terms, this Agreement shall be governed by the amended Terms.

1. When the amendment of these Terms conforms to the general interests of Users

1. When the amendment of these Terms does not contradict the purpose of the Agreement and is reasonable in light of the necessity of the amendment, the appropriateness of the amended contents, and other circumstances relating to the amendment

1. When amending these Terms, the Company shall specify the effective date of the amended Terms and, at least two weeks before the effective date, notify Users of the contents of the amended Terms and the effective date, display them on the App, or otherwise inform Users by methods prescribed by the Company.

1. Notwithstanding the preceding two paragraphs, if a User uses the App after notification of the amendment of these Terms described in the preceding paragraph, or if the User does not complete cancellation procedures within the period prescribed by the Company, the User shall be deemed to have agreed to the amendment of these Terms.

All matters relating to these Terms shall be governed by the laws of Japan.

All lawsuits between Users and the Company shall be subject to the exclusive agreed jurisdiction of the Tokyo District Court as the court of first instance.

1. With respect to matters not provided for in these Terms, if the Company separately prescribes detailed rules or similar provisions, Users shall comply with them. In such cases, such detailed rules shall form an integral part of these Terms.

1. Detailed rules shall take effect from the time they are posted at locations designated by the Company.

1. If there is any conflict between detailed rules and these Terms, these Terms shall prevail.
